ORC Networks offer members a unique opportunity and a confidential setting in which to problem solve and brainstorm, stay current in the field, share best practices, and gain insights on some of today’s most difficult workforce management issues. Groups are specifically tailored to cover the needs of each of the key areas of HR and EH&S management, and all members are active practitioners. The groups meet several times a year and between meetings maintain regular contact through Web casts, conference calls, electronic bulletin boards, and surveys designed to provide relevant and timely information on issues of interest to members. Welcome !   The following terms govern your access to, use of and participation in ORC Worldwide’s Networks Community (the “E Services”).   BY REGISTERING OR BY USING THE E SERVICES, YOU SIGNIFY ELECTRONICALLY YOUR AGREEMENT TO THE FOLLOWING TERMS.  If you do not agree, you may not use the E Services. 

About the ORC Worldwide Networks Community
The ORC Worldwide Networks Community is comprised of a group of networks, each of which has a unique focus within the field of workforce management (each, a “Network”, or, together, the “Networks”).   The Networks focus on sharing best practices and knowledge in the areas of human resource management, and occupational safety, health, and the environment.  The ORC Worldwide Networks e-Community is a resource that offers  convenient access to many services and communication opportunities and is available to our Network members and visitors to our e-community.   It is a place to find information, share information, and stay in touch with fellow community members and visitors across the globe.   While portions of our e-community are open to visitors, others are available to members only.  By accepting these terms, you are accepting those terms that are applicable to your level of engagement with ORC as a visitor, registered visitor, member, or in any other capacity. 

About These Terms
The E Services are provided by Organization Resources Counselors, Inc., a Delaware corporation with headquarters at 500 Fifth Avenue, New York, NY 10110,  and its affiliates (collectively, “ORC,”  “we” or “us”).  In order to use the E Services, you must abide by these Terms and Conditions, Netiquette Guidelines, , the Content Submission Guidelines make this a like to the Guidelines] and such other policies or guidelines as we may post on the E Services from time to time. These terms collectively make up your agreement with us regarding your access to, use of and participation in the E Services (the “Terms”). We may change these Terms at any time. Your ongoing use of the E Services after we post or notify you about changes to our Terms signifies your agreement electronically to the updated Terms. 

Registration
In order to use the E Services, you must register with us and provide complete, accurate and current information about yourself. Add link to Registration page  You must keep this information up to date at all times. You must comply at all times with applicable laws and these Terms. 

Privacy Policy
The Privacy Policy located at http://www.orcworldwide.com/about/privacy.php make this a link explains the practices that apply to your information when you use the E Services. Your ongoing use of the E Services signifies your consent to the information practices disclosed in our Privacy Policy. 

Use of E Services
The E Services may be used to communicate with fellow Network members, to gather information, share information, ask questions, suggest answers, and generally perform some of the same tasks you might perform at a Network meeting in person.  When using the E Services, as when attending a Network meeting in person, participants are expected to maintain a collegial, professional and appropriate presence.
The E services may not be used to transmit any material, or otherwise engage in any conduct that: 
1.	violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity or other proprietary rights; 
2.	is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, or contains explicit or graphic descriptions, or accounts of, sexual acts; 
3.	victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability, gender identity, nationality, political affiliation/belief, or veteran status;
4.	violates the laws or regulations of any jurisdiction having authority over the use of the E Services, including, without limitation, anti-trust and privacy laws; 
5.	impersonates any person, business or entity; 
6.	contains viruses or any other malicious computer code; 
7.	encourages conduct that would constitute a criminal offense, or that gives rise to civil liability; 
8.	transmits, directly or indirectly, any unsolicited bulk communications (including e-mails, “spam” and instant messages); 
9.	violates these Terms; or 
10.	interferes with the use of the E Services or any other area on ORCWorldwide.com by others. 

Ownership
The content on E Services, including, without limitation, text, images, graphics, audio, music, video, software, feedback, data, messages, answers, questions, comments, suggestions, ideas or any other materials (“Content”) is owned or licensed by us or by others and is protected under copyright and other intellectual property right laws. All trade names, trademarks and service marks appearing on the Content are protected by ORC or its affiliates or third party owners. Any rights not expressly granted herein are reserved. All Content is for your business networking purposes and for your personal use only and may not be sold, licensed or commercially distributed to any third parties or in combination with any applications if the Content would constitute the primary value of the product being distributed.

Submissions
The E Services allow certain users to upload, download, edit, share and/or publish Content (“User Content”).  All User Content should be submitted in compliance with our Content Submission Guidelines make this a link to the guidelines.  ORC may, in our sole discretion, without notice, remove any User Content from the E Services or other Networks member communications at any time. 
You are solely responsible for any submission of User Content. You may only submit User Content that you own or to which you have acquired such consents, permissions or licenses needed to submit such Content.  You are responsible for removing any names or confidential information from the Content you submit that you do not want to appear.  See our Content Submission Guidelines make this a link to the guidelines.  If your User Content contains content owned by or licensed from a third party, it is your responsibility to acquire any rights needed to submit the User Content to the E Services.  All User Content you submit to ORC, including any third party content, will be subject to your obligation to indemnify us. Upon submission of any User Content to the E Services, you will grant us and our affiliates a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, assignable and sublicensable license to use, reproduce, modify, create derivative works, publicly perform and display such User Content in connection with any of our products or services, entirely without obligation, compensation or restriction of any kind.   While ORC will exercise reasonable commercial efforts to maintain website security and any published access restrictions to the E Services, such as limiting access to certain content to Networks members, etc., we cannot absolutely guarantee website security or confidentiality.

Confidential, Proprietary or Personally Identifiable Information
You may not submit or post User Content that includes confidential, proprietary or personally identifiable information that you do not have permission to share.  Any such information must be removed prior to submission or posting of User Content.  ORC cannot and will not be responsible for confidential, proprietary or personally identifiable information that is submitted or posted to the E Services.  If, while using the E Services, you become aware of confidential, proprietary or personally identifiable information that has been submitted or posted, please notify us immediately at insert desired contact – must be by email so we have a written/electronic record.  You may not distribute such information to any third party.  While ORC has no duty to monitor (see below) or remove confidential, proprietary or personally identifiable information from the E Services that has been submitted or posted by others, we reserve the right to remove any such Content .
No Duty to Monitor
You agree that we are not liable for Content that is provided by others. This includes, without limitation, User Content, chats, networking, etc. by Members.  We have no duty to pre-screen Content, but we have the right to refuse to post or to edit submitted Content. We reserve the right to remove Content for any reason, but we are not responsible for any failure or delay in removing such material.

Security 
 While ORC will exercise reasonable efforts to maintain website security and any published access restrictions to the E Services, such as limiting access to certain content to Networks members, etc., WE CANNOT GUARANTY WEBSITE SECURITY OR CONFIDENTIALITY.  Each User will be responsible for maintaining the security of any User password or other login information, and will be responsible for any activity on the E Services conducted using such password or other login information.



No Warranties
We provide the E Services "as is", "with all faults" and "as available." You use the Content and E Services at your own risk. We and our suppliers and distributors make no express warranties or guarantees about the E Services. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES THAT THE E SERVICES ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, TIMELY, FIT FOR A PARTICULAR PURPOSE OR NEED, OR NON-INFRINGING. WE DO NOT GUARANTEE THAT THE E SERVICES WILL MEET YOUR REQUIREMENTS, ARE ERROR-FREE, RELIABLE, WITHOUT INTERRUPTION OR AVAILABLE AT ALL TIMES. WE DO NOT GUARANTEE THE RESULTS THAT MAY BE OBTAINED FROM THE E SERVICES OR THAT YOU WILL BE ABLE TO ACCESS THE E SERVICES AT ALL TIMES.  

Limitation of Liability
YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US IS TO DISCONTINUE YOUR USE OF THE E SERVICES. WE, OUR AFFILIATES, AND OUR SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF, INABILITY TO USE, OR RELIANCE UPON ORCWORLDWIDE.COM. THESE EXCLUSIONS APPLY TO ANY CLAIMS FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF WE KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY, AND THE LIABILITY OF OUR AFFILIATES AND SUPPLIERS, SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. 

Indemnification
Upon a request by us, you agree to defend, indemnify, and hold harmless us and our affiliates, and our respective employees, contractors, officers, directors, and agents from all liabilities, claims, and expenses, including attorney's fees that arise from your use or misuse of the E Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. 

International Use
We can make no representation that Content on the E Services is appropriate or available for use in locations outside the United States, and accessing the E Services from territories where the Content is illegal is prohibited. If you choose to access the E Services from a location outside the U.S., you do so on your own initiative and you are responsible for compliance with local laws. 

Choice of Law
You agree that the laws of the State of New York govern this contract and any claim or dispute that you may have against us, without regard to New York’s conflict of laws rules, and that the United Nations Convention on Contracts for the International Sale of Goods shall have no applicability. You further agree that any disputes or claims that you may have against us will be resolved by a court located in the State of New York and you agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. PLEASE NOTE THAT BY AGREEING TO THESE TERMS OF USE, YOU ARE: (1) WAIVING CLAIMS THAT YOU MIGHT OTHERWISE HAVE AGAINST US BASED ON THE LAWS OF OTHER JURISDICTIONS, INCLUDING YOUR OWN; (2) IRREVOCABLY CONSENTING TO THE EXCLUSIVE JURISDICTION OF, AND VENUE IN, STATE OR FEDERAL COURTS IN THE STATE OF NEW YORK OVER ANY DISPUTES OR CLAIMS YOU HAVE WITH US; AND (3) SUBMITTING YOURSELF TO THE PERSONAL JURISDICTION OF COURTS LOCATED IN THE STATE OF NEW YORK FOR THE PURPOSE OF RESOLVING ANY SUCH DISPUTES OR CLAIMS. 

Termination
Your right to use the E Service automatically terminates with no further action required by us if you violate these Terms or any rules or guidelines posted in connection with ORCWorldwide.com or orcnetworks.com.  We also reserve the right, in our sole discretion, to terminate your access to all or part of the E Services, and to suspend the operation of all or any part of the E Services for any reason, with or without notice. 

Electronic Notices
YOU AGREE TO TRANSACT WITH US ELECTRONICALLY. WE MAY PROVIDE NOTICES TO YOU ELECTRONICALLY (1) VIA E-MAIL IF YOU HAVE PROVIDED US WITH A VALID EMAIL ADDRESS OR (2) BY POSTING THE NOTICE ON A WEBSITE DESIGNATED BY US FOR THIS PURPOSE – where will we post these?. The delivery of any Notice is effective when sent or posted by us, regardless of whether you read the Notice or actually receive delivery. You can withdraw your consent to receive Notices electronically by discontinuing your use of the E Services. 

General Terms
(a) This agreement constitutes the entire agreement between you and us concerning the subject matter of these Terms, which may only be modified by us. (b) This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods. (c) If any part of these Terms is held invalid or unenforceable, that part shall be construed to reflect the parties' original intent as nearly as practicable, and the remaining portions remain in full force and effect, or we may at our option instead terminate this Agreement. (d) English is the controlling language of these Terms. If you have received a translation into another language, it has been provided for your convenience only. (e) A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, shall not waive such term or condition or any subsequent breach thereof. (f) You may not assign or otherwise transfer by operation of law or otherwise this Agreement or any rights or obligations herein. We may assign these Terms to any entity, including to any of our affiliate at our sole discretion. (g) These Terms shall be binding upon and shall inure to the benefit of the parties, their successors and permitted assigns. 



Membership
All network members agree to the following membership terms and conditions:
Network Members pay annual membership dues in advance.  Failure to pay your membership dues may result in a suspension of your membership.  Members agree to participate regularly and appropriately in each Network of which they are Members.  As professional colleagues, Members agree to treat each other with respect, to participate in surveys, to share information, ask questions, suggest answers and generally conduct themselves as they would at any professional networking meeting.  Members are expected to be collegial, professional and appropriate at all times.
To achieve the greatest success as a community, Network Members must feel comfortable communicating with each other reasonably openly.  Network Members agree to treat their communications with other Members confidentially and not to share confidential information received from other Members with third parties without permission.
Members agree to comply with all laws and regulations in effect in any jurisdiction with authority over their actions, including without limitation, antitrust laws and privacy laws.
ORC reserves the right to terminate any membership for any reason, and upon such termination will refund a prorated amount of any prepaid annual membership.
